Tiddys Club Affiliate Program – Terms and Conditions

Introduction

These Terms and Conditions ("Agreement") govern your participation in the Tiddys Club Affiliate Program ("Program") operated by Tiddys ("Company", "we", "us", or "our").

By registering for and participating in the Program, you ("Affiliate", "you", or "your") agree to be bound by this Agreement.

We reserve the right to modify these terms at any time. Continued participation in the Program following any changes constitutes acceptance of the updated terms. It is your responsibility to review this Agreement regularly.

Eligibility

To participate in the Program, you must:

• Be at least 18 years of age
• Provide accurate, complete, and current registration information
• Have a valid email address and payment method
• Not have been previously terminated from the Program
• Comply with all applicable laws, regulations, and advertising standards

We reserve the right to reject any application or terminate any affiliate account at our sole discretion, without obligation to provide a reason.

Commission Structure

Affiliates earn a flat commission of $10 AUD for each qualifying order placed through their unique referral link, subject to the following conditions:

• The order must be placed through your unique referral link
• The order must be completed and paid in full
• The order must not be cancelled, refunded, or charged back
• Self-referrals do not qualify, including orders placed by the affiliate, members of their household, immediate family, business entities they control, or any arrangement intended to circumvent this restriction
• Orders deemed fraudulent, invalid, or in violation of this Agreement do not qualify

Commission eligibility is determined solely by our tracking systems. We are not responsible for commissions lost due to tracking failures, browser settings, ad blockers, cookie restrictions, or technical issues.

Commissions are not considered earned or payable until they have cleared the applicable holding period and become eligible for payout under Section 4.

We reserve the right to modify the commission structure at any time with reasonable notice. Reasonable notice may include email communication or dashboard announcements. Any changes will apply only to orders placed after the effective date of the change.

Payment Terms

4.1 Commission Holding Period

All commissions are subject to a 30-day holding period from the date the referred order is completed and paid in full. This holding period allows for refunds, cancellations, and chargebacks to be processed.

Only commissions that have successfully cleared the holding period are eligible for payout.

4.2 Payout Eligibility

Once commissions clear the holding period, they will appear in the affiliate dashboard as available for payout. Commissions that are pending, under review, or within the holding period are not eligible for payout.

4.3 Payout Requests and Processing

Affiliates may request payout of available commissions through the dashboard. Payout requests are processed within 14 business days, calculated in accordance with business days in New South Wales, Australia.

We reserve the right to batch, consolidate, or administratively delay payout requests for operational efficiency, provided payouts are processed within the stated timeframe.

4.4 Payment Methods

Payments are made via bank transfer or other payment methods determined by Tiddys at our discretion. Affiliates are responsible for providing accurate payment details.

Any fees charged by financial institutions or payment providers are the responsibility of the affiliate.

4.5 Minimums and Frequency

There is no minimum payout threshold. However, we reserve the right to limit payout frequency or consolidate multiple payout requests into a single payment.

4.6 Taxes

Affiliates are solely responsible for reporting and paying any taxes, duties, or government charges arising from commissions earned under the Program.

4.7 Refunds, Chargebacks, and Adjustments

If a referred order is refunded, cancelled, or charged back at any time, the associated commission will be deemed invalid.

If such commission has already been paid, we reserve the right to deduct the commission from future earnings or request repayment.

4.8 Withholding and Review

We reserve the right to withhold or delay commission payments where fraudulent or suspicious activity is suspected, account information is incomplete, or there is a breach or suspected breach of this Agreement.

Referral Link Usage

Your unique referral link must be used in accordance with the following guidelines:

• You may share your link via social media, websites, email, and other legitimate channels
• You must clearly and prominently disclose your affiliate relationship whenever promoting Tiddys, including in paid and unpaid content
• Paid advertising is permitted only in accordance with the conditions below
• You may not bid on or target Tiddys brand names, trademarks, or close variations in search advertising
• You may not link paid advertisements directly to Tiddys' website without prior written approval
• You may not use misleading, deceptive, or false representations
• You may not use spam, unsolicited messages, or automated systems to distribute your link

Paid advertising may be used to promote your own content featuring Tiddys, provided disclosure requirements are met and brand terms are not targeted.

Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination and forfeiture of unpaid commissions:

• Creating fake orders or using stolen or unauthorised payment methods
• Using bots, scripts, or automated systems to generate traffic or orders
• Cookie stuffing or any form of tracking manipulation
• Incentivising purchases through cashback, rebates, or similar schemes without express approval
• Making false or misleading claims about Tiddys products or services
• Impersonating Tiddys or claiming to be an official representative
• Using Tiddys trademarks or branding without authorisation
• Promoting Tiddys on websites containing illegal, explicit adult, violent, or discriminatory content
• Violating any applicable laws, regulations, or third-party rights
• Creating multiple affiliate accounts to circumvent this Agreement
• Colluding with others to manipulate the Program

Fraud Prevention and Investigation

We actively monitor for fraudulent activity and reserve the right to:

• Withhold commission payments pending investigation
• Reverse or reclaim commissions paid on fraudulent or invalid orders
• Terminate affiliate accounts suspected of fraud without prior notice
• Report fraudulent activity to relevant authorities
• Pursue legal action to recover losses
• Share information about fraudulent affiliates with other networks

Determination of fraudulent activity is at our sole discretion. You agree to cooperate fully with any investigation.

Intellectual Property

Tiddys retains all rights to its trademarks, logos, and intellectual property. You are granted a limited, non-exclusive, revocable licence to use approved branding solely for promoting the Program, subject to:

• Using only approved materials
• Not modifying or misrepresenting branding
• Not registering domains or social handles containing Tiddys trademarks
• Immediately ceasing use upon termination

Termination

Either party may terminate this Agreement at any time. Upon termination:

• Your referral link will be deactivated immediately
• You must remove all Tiddys branding and promotional materials
• Eligible commissions on valid orders will be paid according to standard payment terms
• Commissions on orders placed after termination will not be paid
• Suspected fraud may result in forfeiture of unpaid commissions

We may terminate accounts immediately and without notice for violations or suspected fraudulent activity.

Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to commissions earned in the preceding 12 months
• We make no guarantees regarding earnings or Program availability
• The Program is provided "as is" without warranties
• We are not liable for tracking errors, downtime, or technical failures

Indemnification

You agree to indemnify and hold harmless Tiddys and its officers, employees, and agents from any claims, losses, or expenses arising from your participation in the Program, violation of this Agreement, or infringement of third-party rights.

Confidentiality

You agree to keep confidential all non-public information relating to the Program, including internal data, reporting, and proprietary information. This obligation survives termination.

Independent Contractor

You are an independent contractor and not an employee, agent, or partner of Tiddys. You are solely responsible for your own taxes, insurance, and legal compliance.

Governing Law and Disputes

This Agreement is governed by the laws of New South Wales, Australia. Disputes will be resolved through:

• Good faith negotiation
• Mediation in Sydney, New South Wales
• Courts of New South Wales if mediation fails

Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Program. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
